Interlink Digital Service Terms
Version 1.3, effective 1 September 2026. Interlink Digital Group Limited, registered in England and Wales, company number 05431902, registered office 27 Old Gloucester Street, London WC1N 3AX (“we”, “us”, “Interlink”).
These terms apply to the Order Form you have signed. Together they are our agreement. Where they conflict, the Order Form wins. “You” means the venue named on the Order Form; “the Site” is the address on it; “the Screen” is the display it identifies, together with any media player, mount and cabling we supply with it.
1. What we do
1.1 We provide and manage the content shown on the Screen: advertising we sell, and your own content.
1.2 We manage all of this remotely. You do not need to do anything to keep it running beyond clause 2.
1.3 We may change, improve or withdraw individual features on reasonable notice, provided what you signed up for still works in substance.
2. What you do
2.1 You provide mains power and internet connectivity at your own cost, and keep the Screen switched on and connected during your opening hours.
2.2 You keep the Screen in the position agreed on the Order Form and tell us before moving it somewhere materially different.
2.3 You tell us if it stops working.
2.4 You confirm you are entitled to install and operate the Screen at the Site, including any landlord’s consent you need.
2.5 Apart from anything else set out in this agreement, that is the extent of your obligations. There is no fee. The term is set out in clause 10.1 and on the Order Form.
2.6 During the term, the Screen is the only display at the Site showing paid third-party advertising. You will not allow another advertising display network to operate at the Site without our written consent.
3. The Screen
3.1 Where we supply the Screen, we install it at the Site at our own cost. It is yours from installation and stays yours after this agreement ends. We do not ask for it back.
3.2 Because it is yours, you are responsible for insuring, maintaining, repairing and replacing it. We are not.
3.3 We pass on the benefit of any manufacturer’s warranty, so far as we are able to.
3.4 We remain responsible for our software and the content on it, whoever owns the hardware.
3.5 Where you supply your own screen, you are responsible for it being fit for purpose and for keeping it working.
3.6 We, or a subcontractor we appoint, carry out the installation. You give us reasonable access to the Site to install the Screen and to carry out any later work on it or on our software. We hold public liability insurance of at least £1,000,000 and will make good any damage we cause to the fabric of the Site.
3.7 If the Screen stops working, tell us and we will help. During the first twelve months we will arrange the repair or replacement and cover the cost ourselves, unless the damage was deliberate or caused by misuse. After that the Screen is yours to maintain.
4. Advertising
4.1 We sell, schedule and manage all advertising on the Screen. Editorial control is ours.
4.2 We will never advertise: competing venues of the same type as yours within the radius on your Order Form; adult content or services; tobacco, vaping and nicotine; weapons; political parties, candidates or campaigns; religious proselytisation; high-cost short-term credit, debt management or claims management; cryptocurrency and speculative investments; anything unlawful, discriminatory, defamatory or seriously offensive; anything that disparages you or your members; and anything else listed as an Excluded Category on your Order Form.
4.3 We will ask you first about gambling, alcohol, competing coaching or training providers, equipment or apparel brands that clash with a sponsor you have named, weight loss, cosmetic surgery or supplements, and anything listed as a Consent Category on your Order Form. These need your positive agreement.
4.4 Everything else we email to you before it goes live. If you do not object within two working days, we treat it as approved. You will not unreasonably withhold approval.
4.5 Once an advert is live you can ask us to pull it at any time if it is unlawful, breaches the advertising codes, breaches clause 4.2, or would seriously damage your reputation. We will remove it promptly and at no cost to you. If you want a live advert pulled for any other reason, we will try to accommodate you.
4.6 All advertising will comply with the UK Code of Non-broadcast Advertising and Direct and Promotional Marketing, and with the law.
5. Your share of the revenue
5.1 We will pay you 10% of Net Advertising Revenue earned from your Site, for months the Site was live during the period being settled. The Site is live from the date paid advertising is first displayed on the Screen.
5.2 Net Advertising Revenue means what we actually bill and collect for advertising displayed at your Site, excluding VAT, less any commission payable to a third-party advertising agency or media buyer and any amount written off as a bad debt. We do not deduct our own selling costs or the commission we pay our own sales staff. If an amount written off as a bad debt is later recovered, we bring it back into the following period’s calculation.
5.3 We pay quarterly in arrears, within thirty days of the quarter end, with a statement showing the advertisers, the amounts and the calculation.
5.4 We issue self-billed invoices, so you do not need to invoice us. Your revenue share is exclusive of VAT. If your business is VAT-registered and you provide a valid VAT number, we will add VAT at the applicable rate. You accept our self-billed invoices and will not issue your own for the same supply. Tell us if you register or deregister for VAT, change your VAT number, or transfer your business. This arrangement renews with each twelve-month period of this agreement, as HMRC requires.
5.5 Where advertising covers several sites, we allocate revenue between them pro rata to the number of advert plays at each site during the campaign, and show the calculation on your statement.
6. Your own content
6.1 You get the display time stated on your Order Form for your own promotions, house rules, events and announcements, free of charge. This time is for your own material. It is not for third-party paid advertising or sponsorship, which we handle under clause 4.
6.2 Send it to us in the format we tell you and we will schedule it within five working days.
6.3 You confirm you own or have the rights to whatever you send us, and you will cover us if a third party says otherwise.
6.4 We can decline content that is unlawful, breaches clause 4.6, promotes a competitor of ours, or is technically unusable. We will tell you why.
7. The software
7.1 We provide the software that displays and manages content on the Screen for as long as this agreement runs.
7.2 It is provided as is. We do not promise it will be uninterrupted or fault free, and it does not replace your booking, membership or payment systems.
7.3 Third-party platforms. Where the software connects to your booking platform or any other third-party system, that depends entirely on the third party continuing to allow it. We will use reasonable efforts to keep any such connection working, but we are not liable if it is withdrawn, restricted, degraded or stopped, and that does not entitle you to any refund or compensation.
7.4 You are responsible for obtaining any credentials or permissions your own platform provider requires, and for checking that giving us access does not breach your agreement with them.
8. Intellectual property
8.1 The software, the content system, the Interlink Digital brand and everything we create stay ours.
8.2 Your content, name and logo stay yours. You let us display them for the purposes of this agreement, and name you as a venue on our network in our own marketing.
8.3 We may use anonymised and aggregated data from the service for any purpose, provided it does not identify you or any individual.
8.4 We grant you a non-exclusive, non-transferable licence to use the Interlink Digital name and logo during the term, to identify the Screen and this service at the Site. It ends when this agreement ends.
9. Confidentiality and data protection
9.1 Neither of us will pass on the other’s commercial information - our rates and advertiser list, your commercial and membership information - without permission, unless it is already public or the law requires it. This lasts three years after we finish.
9.2 We each comply with UK data protection law.
9.3 Where players or members enrol with us directly through the Screen, we are the controller of their personal data and are responsible for our own privacy notice and lawful basis.
9.4 Where we receive personal data from your booking platform or another system of yours, we process it as your processor, only on your documented instructions and only to provide the service. The subject matter, duration, nature and purpose of the processing, the types of personal data and the categories of data subject are set out in the processing schedule to the Order Form. We will keep the data confidential, apply appropriate technical and organisational security measures, use sub-processors only on equivalent terms and stay responsible for them, help you with data subject requests, security incidents and any assessment you have to carry out, and delete or return the data when this agreement ends.
9.5 Neither of us will use the Screen for facial recognition, biometric identification or the measurement of identifiable individuals without the other’s written agreement.
10. Ending it
10.1 The initial term is twelve months from the date of this agreement. Either of us may end it by giving the other at least thirty days’ written notice, to expire on the last day of the initial term or of any subsequent twelve-month period. If neither of us gives that notice, the agreement continues for a further twelve months on the same terms. Either of us may give that notice for any reason or none.
10.2 Either of us can end it immediately if the other seriously breaches it and does not put it right within fourteen days of being asked in writing, or becomes insolvent or stops trading.
10.3 When it ends, the advertising and the software stop, and we may disable our software remotely. The Screen stays yours. You stop using the Interlink Digital branding.
10.4 We will pay you any revenue share you have earned up to the end date, on the normal quarterly cycle.
11. Liability
11.1 Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
11.2 Neither of us is liable to the other for lost profit, lost business, lost savings, lost goodwill, or any indirect or consequential loss.
11.3 Subject to clause 11.1, our total liability to you in any twelve-month period, whether in contract, tort or otherwise, is limited to £3,000. This does not apply to revenue share we owe you under clause 5.
11.4 Apart from clause 3.3, we give no warranty about the Screen hardware itself, and, so far as the law allows, terms implied by the Sale of Goods Act 1979 and the Supply of Goods and Services Act 1982 do not apply to it.
12. General
12.1 Changing these terms. We may update these terms on thirty days’ written notice. If you do not want the new terms, you may end this agreement by written notice given within those thirty days, to take effect on the date the new terms would otherwise start, whether or not the initial term has ended. Otherwise the new terms apply from the date in our notice.
12.2 Notices go by email to the addresses on the Order Form and count as received on sending, if sent in working hours.
12.3 Transfers. You cannot transfer this agreement without our written consent. If you sell or otherwise transfer the business operating the Site, you must procure that the buyer takes on this agreement on the same terms, and you will make that a condition of the sale. Tell us before the sale completes. If the buyer does not take it on, we may end this agreement on written notice.
We may transfer this agreement to a group company or to a buyer of our business or of the screen network. You agree to that now, so nothing further needs signing. We will write to you naming the transferee and the date it takes effect. From that date they step into our place and you deal with them instead of us. Anything we already owed you before that date stays our responsibility.
12.4 Subcontracting. We can subcontract, but we stay responsible.
12.5 Force majeure. Neither of us is liable for delays caused by things outside our reasonable control.
12.6 Whole agreement. The Order Form and these terms are the whole agreement between us and replace anything said beforehand. This does not exclude liability for fraudulent misrepresentation.
12.7 Severance. If any part is unenforceable, the rest continues.
12.8 No partnership. We are not partners, and neither of us is the other’s agent.
12.9 No third party rights under the Contracts (Rights of Third Parties) Act 1999.
12.10 Law. English law applies and the English courts have exclusive jurisdiction.
